Terms of Service
Last updated: June 10, 2026
1. Acceptance of Terms
By accessing or using the Outhora platform and services (“Services”), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Services
Outhora provides AI agent governance, authorization, and audit trail infrastructure. Our Services include a policy engine, human intervention workflows, signed authorization receipts, and audit trail functionality accessible via REST API, MCP server, and native SDK.
3. Account Registration
You must register for an account to use most features. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized access. You must provide accurate information and keep it up to date.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to the platform or other accounts
- Reverse engineer, decompile, or disassemble any part of the platform
- Use the Services to facilitate fraud, deception, or harm to third parties
- Circumvent or interfere with the governance and authorization mechanisms provided by Outhora
- Transmit malicious code, viruses, or disruptive data
- Exceed usage limits or abuse the free tier
5. Data and Authorization Records
You retain ownership of the data processed through the Outhora platform, including authorization receipts and audit trail records. You grant Outhora a limited license to process this data as necessary to provide the Services.
Outhora does not use your authorization receipts, agent decision data, or audit trail information to train AI models or for any purpose other than providing the Services to you.
6. Service Availability and SLA
We strive for high availability but do not guarantee uninterrupted access. Enterprise customers with SLA agreements receive uptime guarantees as defined in their contracts. Free and Team tier customers receive best-effort availability with advance notice of planned maintenance where possible.
7. Intellectual Property
Outhora and its licensors own all intellectual property rights in the Services, including the platform, documentation, and underlying technology. These Terms do not grant you any right, title, or interest in Outhora's intellectual property beyond the limited license to use the Services.
8. Payment and Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your plan. We may update pricing with 30 days advance notice. Continued use after a price change constitutes acceptance of the new pricing.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. OUTHORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OUTHORA DOES NOT WARRANT THAT THE SERVICES WILL MEET ALL REGULATORY REQUIREMENTS APPLICABLE TO YOUR BUSINESS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTHORA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO OUTHORA IN THE TWELVE MONTHS PRECEDING THE CLAIM. OUTHORA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately for violations of these Terms or applicable law. Upon termination, your right to use the Services ceases. You may export your audit trail data within 30 days of termination.
12. Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration, except for claims eligible for small claims court.
13. Changes to Terms
We may update these Terms with reasonable notice. Material changes will be communicated via email or prominent website notice. Continued use after changes take effect constitutes your acceptance of the revised Terms.
